Fred Chang is a leading US-trained business lawyer in Beijing, China. He specializes in buy-side M&A as well as financing transactions for banks, institutional investors and funds. Fred founded FenXun Partners to provide an international-standard legal service at cost-effective rates. He heads the M&A practice and co-heads the financing, banking and financial services practices.

Fred stands out from other lawyers in China through a unique background which combines extensive international law firm experience with in-house roles at premier global investment banks -- all in senior positions. He has spent 14 years in private legal practice on Wall Street and in China, as well as nine years at Goldman Sachs and Deutsche Bank. At Deutsche, he worked closely with the traders as well as the legal department, and brings a highly commercial perspective to legal practice – a valuable quality in a dynamic market like China where CEOs seek to aggressively grow their business revenues.

From the early stages of his professional career to the present, Fred has represented banks, financial institutions, insurance companies and fund managers in their investment and financing transactions, and also on regulatory and compliance matters such as FCPA, white collar and bribery.

In addition, Fred is active in acquisition finance, project finance, structured finance, and asset finance. More recently, he has advised on pre-IPO finance, PIPE deals (private investment in public equity) and numerous private equity matters: both the structuring of private equity funds, and buyout deals for industrial corporations.


Industry sector expertise

Fred represents a large number of financial institutions – banks, insurers, and fund managers – in the mutual fund, hedge fund, asset management and private equity industries. In addition he is active in the energy, power and infrastructure sectors through his project finance work. Recently a number of the corporate and finance deals he has worked on have involved companies in the industrial, pharmaceuticals, media, internet and consumer goods industries.

Overseas expertise

Mr. Chang has extensive international experience and offers clients an attractive mixture of legal and financial services expertise gained in China and the United Sates. Fred qualified as a New York attorney in 1987 and his principal focus is advising on the U.S and international aspects of Chinese and Asian deals. A rarity in China, there are few lawyers with Fred’s international background and ability to operate at the highest levels of the financial and legal world.

Of Chinese origin, Fred was born and raised in the United States, but throughout his career harbored a longstanding desire to return to China, and make a contribution to the legal profession in that country. He moved to China in 2004. As well as China itself, Fred has acquired experience of other Asian jurisdictions such as Hong Kong and Singapore. In his time as Asia general counsel for Deutsche Bank, he worked on a number of pan-Asian deals, and he maintains a strong cross-border practice to this day.


Matters

  • Advised Johnson & Johnson on its January 2013 purchase of Elsker, a Shanghai-based baby and mother care products manufacturer which has grown significantly in recent years; the deal, which has picked up awards from the M&A and business press, involved numerous complex issues including tax, foreign exchange control, and labor restructuring.
